Nova Wholesale USA INC ("Nova Wholesale USA," "we," "us," or "our") is a wholesale distributor based in Florida, United States. We are responsible for the personal information described in this Privacy Policy.

2. Scope

This Privacy Policy explains how we collect, use, share, and protect personal information when you visit our online store, create an account, place an order, contact us, or join the Nova Wholesale USA SMS Marketing Program. It should be read together with our Terms and Conditions.

3. Information we collect

Depending on how you interact with us, we may collect:

  • Account and contact information: name, business name, email address, phone number, and login credentials.
  • Order information: products ordered, quantities, prices, billing and shipping addresses, order history, and communications about your orders.
  • Payment information: payments are handled by third-party payment processors. We receive limited payment details, such as payment status and the last digits of a card, but we do not store full payment card numbers.
  • Communications: messages you send us by email, phone, text message, or website forms, and our replies.
  • SMS program information: mobile phone number, consent status, the date and time of consent or opt-out, the exact consent text you accepted, the page where you signed up, your browser user agent, keywords you send (such as STOP or HELP), and message delivery status.
  • Technical and usage information: browser and device type, pages visited, referring pages, and information collected through cookies and similar technologies used by our e-commerce platform.

4. How we use information

We use personal information to:

  • Create and manage customer accounts and show wholesale prices to signed-in customers.
  • Process, fulfill, ship, and support orders, including payments, taxes, returns, and customer service.

  • Send transactional messages about your account and orders.

5. SMS program privacy

We send SMS Marketing Program messages only to people who have given express, separate consent through our web sign-up form. We keep a record of each consent and opt-out (mobile number, date and time, accepted consent text, sign-up page, browser user agent, and keywords received) to honor your choices and demonstrate compliance.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Mobile information and SMS consent records are not sold, rented, or disclosed to third parties for their own marketing or promotional purposes. All the categories of sharing described in this Privacy Policy exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, except the service providers that process it on our behalf solely to deliver messages, process STOP and HELP requests, prevent fraud, and meet carrier and legal requirements.

Reply STOP to any text message to opt out, or HELP for assistance. You can also contact us using the details in section 1. Opting out of text messages does not opt you out of emails, and opting out of emails does not opt you out of text messages.

6. Email communications

We send transactional emails related to your account and orders. If you agree to receive marketing emails, each marketing email includes an unsubscribe link, and you can also ask us to stop at any time. Unsubscribing from marketing emails does not stop transactional emails that are necessary for your orders or account.

7. How we share information

We do not sell your personal information. We share personal information only as needed to run our business, with:

  • E-commerce and point-of-sale platform: Lightspeed, which hosts our online store and processes customer and order data on our behalf.
  • Payment processors: to process payments and prevent payment fraud.
  • Shipping carriers: such as UPS, FedEx, and DHL, to deliver your orders.
  • Customer communications and SMS providers: Binah (operated by Soluciones ALCO S.A.S.), our customer relationship and messaging platform, and its messaging providers and mobile carriers, solely to send messages we are authorized to send, process opt-outs and help requests, and keep compliance records.
  • Legal and safety: authorities, advisors, or other parties when required by law, to respond to valid legal process, or to protect the rights, property, or safety of Nova Wholesale USA, our customers, or others.
  • Business transfers: a buyer or successor in connection with a merger, acquisition, or sale of assets, subject to this Privacy Policy.

Our service providers may use personal information only to provide services to us. The SMS limits described in section 5 apply to all sharing.

8. Cookies and similar technologies

Our online store uses cookies, local storage, and similar technologies provided by our e-commerce platform. Some are necessary to keep you signed in, remember your cart, and secure the website; others help us understand how the website is used. You can block or delete cookies in your browser settings, but some features, such as signing in or checking out, may not work without them.

9. Data retention

We keep personal information for as long as needed for the purposes described in this Privacy Policy, including maintaining your account, fulfilling orders, and meeting legal, tax, and accounting requirements. SMS consent and opt-out records are kept for as long as you participate in the program and afterward for as long as needed to demonstrate compliance and resolve disputes. When information is no longer needed, we delete or de-identify it.

10. Security

We use reasonable administrative, technical, and physical safeguards, and rely on service providers with security programs, to protect personal information. No method of transmission or storage is completely secure, so we cannot guarantee absolute security.

11. Children's privacy

Our website and services are intended for businesses and adults. They are not directed to children under 13, and we do not knowingly collect personal information from children. The SMS program is available only to people who are at least 18 years old. If you believe a child has provided us personal information, contact us and we will delete it.

12. Your choices and rights

  • You can review and update your account information by signing in to your account.
  • You can opt out of marketing text messages by replying STOP, and out of marketing emails by using the unsubscribe link.
  • You can ask us to access, correct, or delete your personal information by contacting us. We may need to verify your identity, and we may keep information we are required to retain by law, such as order and tax records.
  • Depending on your state of residence, you may have additional privacy rights under applicable state law. We will respond to requests as required by the law that applies to you.

13. Where information is processed

We are based in the United States, and your information is primarily processed in the United States. Some of our service providers may process information in other countries. When that happens, we take steps so that your information remains protected as described in this Privacy Policy.

14. Changes to this Privacy Policy

We may update this Privacy Policy to reflect legal, technical, or operational changes. The current version is always published on this page, with its version and last-updated date. If we make material changes to how we use SMS consent information, we will request renewed consent where required.
